These Terms & Conditions (“Agreement”) outline the rights and responsibilities between the Owner (Client) and Build Matrix Construction (“Contractor”), regarding the provision of construction services.
All construction work shall be executed as per the approved specifications and work plans agreed upon by the Owner. Any changes must be formally documented and approved by both parties.
Build Matrix Construction will be responsible for all valid labor and material expenses during the construction phase. However, the Contractor shall not be liable for any unpaid invoices during periods in which the Owner has delayed scheduled progress payments.
Any additional work directed by the Owner, government authorities, or lenders will be treated as extra work and will incur additional charges. All such modifications must be requested in writing and confirmed by both parties.
The Contractor shall not be held liable for delays caused by:
Acts of God
Owner or Owner’s agents
Adverse weather
Labor issues
Government or utility delays
Extra work orders
Payment delays by Owner
Any unforeseen circumstances beyond reasonable control
The Contractor may not subcontract any part of the project without prior written approval from the Owner.
Where applicable, the Contractor will facilitate warranties from third-party suppliers directly to the Owner. A builder’s warranty covering structural issues will be valid for one year from the date of handover.
The Contractor will ensure compliance with all relevant laws.
The Contractor will obtain building permits at their cost.
The Owner will obtain variances, pay applicable assessments, taxes, and disclose any hazardous or drainage issues prior to the commencement of work.
The Owner is responsible for abating any harmful conditions such as asbestos, mold, or underground storage tanks.
The Contractor will maintain liability and worker’s compensation insurance.
The Owner shall maintain property insurance with “course of construction” coverage.
Both parties agree to waive rights of subrogation against each other and their respective insurers.
Upon completion, Build Matrix Construction will ensure the site is cleaned, and all materials and debris are removed before final handover.
All legal disputes will be subject to the jurisdiction of competent courts in Bangalore.
Standard-grade materials will be used unless otherwise specified. Requests for premium materials or alterations during execution will be considered extra work and will affect the final contract price.
Final payment is due upon project completion and confirmation that all subcontractors and suppliers have been or will be paid. Final payment cannot be withheld for minor unresolved punch-list items.
The Owner shall sign and record a Notice of Completion within 5 days after project completion. If not, the Contractor is authorized to do so on behalf of the Owner.
Responsibility for materials and installed work transfers to the Owner once installed.
Project Duration: The Contractor agrees to complete the work in 6 months.
Delay Penalty: A 10% penalty per month will apply for delays caused by the Contractor. This amount will be deducted from the final payment.
If the delay is caused by the Owner, the same penalty clause applies to the Owner.
Any part of a delayed month will be treated as a full month.
a. Prices are valid for 15 days from the date of quote.
b. Contractor will take reasonable care to protect landscaping, but Owner may choose to relocate plants.
c. Owner must provide 6KV power supply and water at the site at their own expense.
d. Reasonable access must be provided for material storage and contractor setup.
e. All notices must be made in writing to the addresses stated in the Contract via personal delivery, certified mail, or courier.
f. No assignment of this Contract is permitted without written consent.
g. Any amendments must be in writing and signed by both parties.
